Terms of Service — Gance (DRAFT)
DRAFT / template. Placeholders in <...> must be completed and the whole document reviewed by a lawyer before publication. This is not legal advice.
Last updated: <DATE> Provider: <COMPANY LEGAL NAME>, <ADDRESS>, <REGISTRATION / VAT No.>
1. Agreement
By creating an account or using Gance ("the Service") you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
Gance is a desktop video editor with optional AI features (transcription, montage, highlights) provided via our backend. Some features require a paid plan.
3. Accounts
You must provide a valid e-mail and keep your credentials secure. You are responsible for activity under your account. You must be at least <16>.
4. Plans, billing and taxes
- Paid plans (Hobby, Pro, Enterprise) are billed via Stripe on a recurring basis until cancelled. Prices are shown at checkout <incl./excl. VAT>.
- Applicable VAT/sales tax is added based on your location (Stripe Tax).
- Business customers may provide a VAT ID (NIP) and receive invoices.
- Renewals occur automatically at the start of each period; cancel any time via the customer portal — access continues until the end of the paid period.
5. Right of withdrawal (EU consumers)
For digital services, you have a 14-day right of withdrawal. By starting to use a paid AI feature within that period you <consent to immediate performance and acknowledge losing the right of withdrawal once fully performed / request that performance begin during the withdrawal period>. <Choose and complete per law.>
6. Refunds
<State your refund policy.> Statutory consumer rights are unaffected.
7. Acceptable use
You may not use the Service to process unlawful content, infringe others' rights, reverse-engineer or resell it, or abuse the AI/compute (rate limits and per-plan quotas apply). We may suspend accounts that violate these Terms.
Exception for the LGPL components (this is a condition of our own licence to ship them, not a courtesy). The application links libraries covered by the GNU Lesser General Public License — among them FFmpeg and libmp3lame, which we distribute with the application, and the GTK stack, which comes from your own operating system. LGPL-2.1 § 6 lets us distribute a closed- source application linked against those libraries only if our terms permit modifying the work for your own use and reverse engineering for the purpose of debugging such modifications. Accordingly, and notwithstanding anything above:
- you may replace any LGPL library the application uses with your own modified version, and modify the application as far as necessary for your own use of such a version;
- you may reverse-engineer the application to the extent needed to debug those modifications;
- nothing in these Terms restricts rights you hold directly under the LGPL, or under any other open-source licence covering a component we ship.
This exception covers the LGPL components only. It is not a general permission to reverse-engineer the application, and it grants no right to redistribute it.
The components we ship and their licences are listed in THIRD-PARTY-NOTICES, supplied with the application; a written offer for the corresponding source of the LGPL components is included alongside it.
8. Your content
You retain all rights to the media you process. You grant us only the limited right to process it to provide the features you use. We do not use your content to train models. Uploaded media is deleted per the Privacy Policy.
8a. Other people in your recordings
This clause exists because the Service processes the image and voice of people who never agreed to anything with us — they are in your footage, not in our user base, and we have no way to reach them.
- You confirm that for every recording you upload you have a lawful basis for recording it and for having it processed by the Service, including for anyone who appears or is heard in it and is not you. Depending on where you are and what you filmed, that basis may be their consent, a contract (a release), or another ground under applicable law.
- Where you act as a controller in your own right — typically a business customer filming clients, staff or event attendees — meeting the information and rights obligations toward those people (GDPR Arts. 13–14, 15–22) is yours, not ours. We process that footage to deliver the features you asked for and delete it per the Privacy Policy.
- You will not upload recordings made where the people in them had a reasonable expectation of privacy without a basis to do so, or recordings whose making was itself unlawful.
- If someone in your footage objects to us, we may contact you, and we may suspend processing or remove the material while it is resolved. We will not pretend to be able to answer for a recording we did not make.
- You indemnify us against claims by third parties arising from your not having had that basis. \<Confirm scope and any cap with counsel — an unlimited indemnity is unenforceable against consumers in several EU jurisdictions.\>
9. Third-party & open-source components
The application includes open-source components under their own licenses (see THIRD-PARTY-NOTICES). Codec/patent terms may apply to certain export formats.
10. Availability & support
We aim for high availability but do not guarantee uninterrupted service. "Priority"/"Dedicated" support levels, where offered with a plan, are described at <support URL / SLA>.
11. Disclaimers & liability
The Service is provided "as is". To the extent permitted by law, our liability is limited to <the amount you paid in the last 12 months>. Nothing limits liability that cannot be limited by law (e.g. for death, personal injury, or intent).
12. Termination
You may delete your account at any time. We may terminate for material breach.
13. Governing law
These Terms are governed by the laws of <Poland>, courts of <city>, without prejudice to mandatory consumer protections in your country of residence.
